These Terms of Service (“Terms”) govern your use of the website at thedigitalemployees.com and any services provided by The Digital Employee (“we”, “us”, or “our”). By using our website or engaging our services, you agree to these Terms.
1. Services
The Digital Employee designs, builds, and deploys AI-powered digital employee systems for businesses. Each engagement is scoped individually and governed by a separate written agreement or statement of work agreed between us and the client.
These Terms cover general use of our website and marketing materials. Specific deliverables, timelines, pricing, and obligations for any project are set out in the relevant project agreement.
2. Use of this website
You may use this website for lawful purposes only. You agree not to:
- Use the site in any way that violates applicable local, national, or international laws or regulations.
- Attempt to gain unauthorised access to any part of the site or its underlying systems.
- Transmit any unsolicited or unauthorised advertising or promotional material.
- Reproduce, distribute, or create derivative works from any content on this site without our written permission.
3. Payment and ownership
Our standard model is a one-time build fee. Payment terms for each project are specified in the individual project agreement. Unless otherwise agreed in writing:
- Upon receipt of full payment, the client owns the delivered system and all custom code written for that project.
- Ownership does not extend to underlying AI models, third-party APIs, or open-source libraries used within the system — those remain subject to their respective licences.
- Optional Annual Maintenance Contracts (AMC) are separate ongoing agreements and do not affect ownership of the delivered system.
4. Intellectual property
All content on this website — including text, graphics, logos, and design — is owned by or licensed to The Digital Employee and is protected by intellectual property laws. You may not copy, reproduce, or use our brand assets without written permission.
Custom systems built for clients become the property of the client upon full payment, as described in Section 3.
5. AI models and third-party services
The digital employee systems we build use frontier AI models provided by third-party providers (such as Anthropic, OpenAI, or similar). Your use of those models within the delivered system is subject to the terms of those providers. We will inform you of relevant third-party dependencies as part of the project delivery.
6. Confidentiality
We treat all client business information shared with us as confidential. We do not disclose client data, workflows, or business processes to third parties except as required to deliver the project (for example, passing relevant context to an AI API) or as required by law.
7. Disclaimer of warranties
This website is provided on an “as is” basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
AI systems, including those we build, can produce incorrect outputs. We design systems to minimise errors, but we do not guarantee that any digital employee system will be error-free or suitable for every use case. Clients remain responsible for reviewing outputs before acting on them in critical decisions.
8. Limitation of liability
To the fullest extent permitted by law, The Digital Employee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or our services, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from a specific project shall not exceed the total fees paid by the client for that project.
9. Termination
We reserve the right to terminate or suspend access to our website at any time without notice. Project engagements may be terminated as set out in the individual project agreement.
10. Governing law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be subject to the exclusive jurisdiction of the courts in the relevant jurisdiction as agreed in the individual project agreement.
11. Changes to these Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date. Continued use of the website after changes are posted constitutes acceptance of the updated Terms.
